有限责任公司应具备的条件：  
A limited liability company shall have the conditions:  
1、股东1个-50个;

申请有限责任公司登记注册应提交的文件、证件
1、《企业设立登记申请书》（内含《企业设立登记申请表》；
2、公司章程（提交打印件一式两份，请全体股东亲笔签字；有法人股东的，要加盖该法人单位公章并由其法定代表人亲笔签字）；
3、验资报告；
4、以非货币方式出资的，还应提交资产评估报告（涉及国有资产评估的，应提交国有资产管理部门的确认文件）；
5、《企业名称预先核准通知书》；
6、股东资格证明；
7、公司场所证明（如：房屋租赁合同，房产证）
8、经营范围涉及前置审批项目的，应提交有关审批部门的批准文件。
9、除上述必备文件外，还应提交打印的股东名录和董事、经理、监事成员名录各一份。
